These Terms of Service (“Terms”) constitute a legally binding agreement between Steakhouse Finance LTD, a company incorporated under the laws of Jurisdiction, (“Steakhouse,” “we,” “our,” or “the Company”) and any person or entity (“you,” “your,” or “the User”) who accesses or uses the Steakhouse ecosystem, including all associated web applications, smart contract interfaces, documentation, and related services (“the Platform”).
By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms in full. If you do not agree, you must not access or use the Platform.
1. Scope and Nature of Service
Steakhouse Finance LTD provides a technological interface and suite of on-chain tools that allow users to deploy, interact with, and manage decentralized smart contracts. These tools include but are not limited to:
User interfaces for token deployment and liquidity management
Templates for smart contract generation (e.g., ERC-20 standards)
Access to bonding curve mechanics and other DeFi utilities
Optional dashboards for tracking token and liquidity performance
The Platform operates as a non-custodial, autonomous interface built on existing decentralized exchange (DEX) infrastructure such as Uniswap, PancakeSwap, and other AMM protocols.
Steakhouse does not:
Hold user funds or act as a financial intermediary
Offer investment advice, brokerage, or fund management
Execute trades or perform market-making activities
Guarantee or facilitate profits, returns, or liquidity outcomes
You understand and agree that Steakhouse provides software tools only and that all transactions occur directly between independent third-party blockchain addresses through publicly available smart contracts.
2. Eligibility and Compliance
You may only use the Platform if you:
Are at least eighteen (18) years of age or the legal age of majority in your jurisdiction
Have full legal capacity to enter into these Terms
Are not located in a jurisdiction where the use of decentralized protocols or digital assets is prohibited
You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and restrictions in your jurisdiction. Steakhouse disclaims any responsibility for users who access or use the Platform in violation of local law.
3. Permitted Use and User Responsibility
By using the Platform, you agree that you will:
Use it only for lawful purposes consistent with these Terms
Accept full responsibility for any smart contracts you deploy or interact with
Refrain from using the Platform to create or distribute tokens or projects that constitute securities, financial instruments, or investment contracts under applicable laws
The Platform is provided solely for developmental and educational purposes to simplify access to existing blockchain infrastructure. You acknowledge that each token deployment or liquidity event represents a direct agreement between the token creator and participants, and Steakhouse is not a party to such agreements.
4. Prohibited Activities
You agree not to use the Platform to:
Engage in, promote, or facilitate illegal activity
Create tokens for the purpose of fraud, scams, rug pulls, or market manipulation
Violate any applicable securities, AML, or sanctions regulations
Attempt to gain unauthorized access to the Platform or its smart contracts
Interfere with or disrupt the functionality of the system or network
Steakhouse reserves the right to restrict or disable access to users or jurisdictions that are deemed high risk, non-compliant, or engaged in prohibited conduct.
5. Risk Disclosure
You acknowledge that the use of decentralized protocols involves inherent risks, including but not limited to:
Smart contract bugs, exploits, or vulnerabilities
Impermanent loss, volatility, and liquidity failure
Unauthorized access or private key loss
Network congestion or transaction delays
Potential classification of certain assets as regulated instruments
By using the Platform, you voluntarily assume all such risks. Steakhouse makes no representations or warranties regarding the functionality, performance, legality, or profitability of any contracts deployed through the Platform.
6. Disclaimer of Warranties
The Platform and all related software, APIs, and documentation are provided “as is” and “as available” without warranty of any kind, express or implied. Steakhouse specifically disclaims any warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
We do not warrant that:
The Platform will operate uninterrupted, secure, or error-free
Any smart contracts deployed using the Platform are free of vulnerabilities
Tokens or liquidity pools will retain value or achieve market success
You acknowledge that Steakhouse cannot and does not control the behavior of users, creators, traders, or third-party protocols interacting with the Platform.
7. Limitation of Liability
To the maximum extent permitted by law, Steakhouse Finance LTD and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use the Platform.
This includes, but is not limited to:
Loss of funds or digital assets
Loss of profits, opportunity, or data
Exploits, bugs, or vulnerabilities in user-deployed contracts
Third-party actions, including fraudulent or deceptive conduct
Steakhouse’s total liability, if any, shall not exceed the amount paid by the user to access premium services, if applicable.
8. Indemnification
You agree to indemnify, defend, and hold harmless Steakhouse Finance LTD and its affiliates from any and all claims, damages, liabilities, costs, or expenses arising from:
Your use or misuse of the Platform
Your breach of these Terms
Any claim or allegation that a token, contract, or project you deploy violates law or the rights of others
This includes all reasonable legal fees and associated expenses.
9. Amendments and Termination
Steakhouse reserves the right to amend, update, or discontinue the Platform or these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
We may suspend or terminate user access for any reason, including but not limited to suspected abuse, fraud, or regulatory non-compliance.
10. Intellectual Property
All intellectual property rights in the Platform, including the software, design, trademarks, and documentation, are owned or licensed by Steakhouse Finance LTD. Users may not copy, modify, distribute, or commercially exploit any proprietary materials without written consent.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of your relevant Jurisdiction. Any disputes arising under these Terms shall be resolved through arbitration or the competent courts of that jurisdiction, to the extent permitted by applicable law.

No Security or Investment Advice The Platform does not provide investment advice, nor does it issue or manage securities. The services offered are limited to offering software tools and a user interface facilitating the deployment and management of smart contract templates and liquidity mechanisms on public blockchains. No portion of the Platform should be construed as a solicitation or offering of investment in a common enterprise or as a sale of a security under applicable law.
No Warranty of Classification The Company makes no representation or warranty as to whether any token, contract or transaction deployed or executed using the Platform constitutes a “security”, “investment contract”, or other regulated instrument in any jurisdiction. The framework established in Howey Test (see SEC v. W.J. Howey Co. 328 U.S. 293 (1946)) holds that an “investment contract” may exist if:
there is an investment of money;
in a common enterprise;
with an expectation of profits;

Because regulatory determination is fact-specific and jurisdiction-dependent, the Company does not guarantee that usage of the Platform will avoid classification as a regulated instrument in any jurisdiction.
User Responsibility for Classification You, as the User, are solely responsible for ensuring compliance with all applicable securities, financial services, tax and regulatory laws in your jurisdiction and any other jurisdictions in which you engage. The Company expressly disclaims liability for any legal, regulatory or financial consequences arising from your use of the Platform, including any consequences of tokens or contracts you deploy being deemed securities.
Tools Only: No Custody, No Management The Platform functions solely as an enabler of on-chain mechanisms and does not act as a custodian of user funds, manager of assets, trustee, investment adviser or broker-dealer. All transactions and contracts are executed on public blockchains between independent addresses and third parties. The Company is not responsible for the design, operation or outcome of any smart contract or token deployed using the Platform.
